We are seeking a Partner level attorney with a strong background in representing private equity funds, management teams, independent sponsors, investors and portfolio companies. The ideal candidate will demonstrate exceptional experience and knowledge of advising clients through the structuring, evaluation, negotiation and consummation of their capital raises, leveraged buyouts, recapitalizations, club transactions, minority investments and other acquisition, divestiture and exit transactions, the negotiation of their equity, debt and mezzanine financing arrangements, the preparation of their management equity and compensation programs, and counseling on their investment regulation and compliance matters.
KEY RESPONSIBILITIES
- Handle a variety of private equity services matters, such as buyouts, capital for growth, exit transactions, family offices, follow-on acquisitions, fund formation, serve as General Counsel to portfolio companies, and restructuring and liquidity events.
- Assist in establishing and structuring private equity funds, including drafting legal documents like partnership agreements, private placement memorandums, and subscription agreements.
- Represent private equity firms in buying and selling companies, negotiating purchase agreements, financing documents, and other transaction-related agreements.
- Conduct due diligence on target companies to assess risks and opportunities.

We are seeking a director-level leader for our Economic Development & Incentives Practice Group with a strong background in advising businesses looking to establish, expand, consolidate, or relocate; developers planning their next big project; or municipalities seeking to attract such businesses and developers. The ideal candidate will demonstrate exceptional experience and knowledge with both private and public entities, helping them navigate complex regulations, secure financing, and negotiate development agreements.
KEY RESPONSIBILITIES
• Engage in business development activities and advocacy to promote the practice group.
• Oversee economic development and incentive matters, such as site selection, applications for local, state and federal incentives, regulatory compliance, tax incentives, public and private financing, state and local permitting, and federal and state grants.

We are seeking a dedicated and experienced Team Lead for our Brand Enforcement Practice Group. The ideal candidate will have over 5 years of experience in e-commerce, primarily working with brands and platforms in channel and brand management. The ideal candidate should have a strong working understanding of intellectual property rights, rules, and regulations of ecommerce platforms, including but not limited to Amazon, Walmart, and eBay, and related software and tools, such as Amazon’s Brand Registry. This role requires expertise in identifying channel disruption, supply chain leaks, and intellectual property violations, as well as knowledge of related solutions to address the foregoing. The Brand Enforcement Team Lead will work closely with the Firm’s existing team to identify potential clients, create a pipeline of leads, and drive overall growth and profitability. The position will play a key role in the acquisition of new brand protection clients. Looking for a summer internship?
KJK’s Summer Associate Program
Our summer associate program is an essential component of KJK’s hiring process. Each summer associate is assigned an associate mentor. The mentor and summer associate interact closely throughout the summer. Projects are assigned based on a summer associate’s expressed areas of interest and to provide exposure to a wide variety of work. In addition, assignments are coordinated by a partner who ensures that each summer associate receives a mix of projects from attorneys in each of the firm’s practice groups. The summer associate works directly with the assigning senior associate or partner and receives substantive feedback from the assigning attorney. We don’t create projects for our summer associates: assignments reflect the type of work that a new attorney would perform as a first or second-year associate at our firm.
Our summer associates are encouraged to attend monthly practice group meetings and are often invited to bar association events, client meetings, negotiation and drafting sessions, depositions, trials, pre-trials and other events. Our summer program is a unique opportunity for the right student, not only to learn from the inside out about our varied and challenging legal practice, but to forge what we hope will be a rewarding and long-lived relationship.
